Terms of Service


By using DocktorUI-related services the User hereby agrees to all the terms
and conditions listed in this document.


In this document terms as "Customer", "You" or "Owner" refer to the individual
or company who has purchased the License, while "User" refers to the individual
using the software.

The word "DocktorUI" stands to indicate anything related to the Product called
DocktorUI and accessible at the Internet address www.DocktorUI.com.

The term "Provider" refers to the company offering DocktorUI-related services,
including but not limited to, service of provision of the Software, management
of Licenses, Support and User information. The Provider is "Synved Limited",
also referred to as "Synved Ltd." or simply "Synved".

Terms as "Software" or "Library" refer to the product being provided, while 
"Assembly" specifically indicates the physical binary code file shipped with 
the Product itself, usually having the ".dll" file extension.

The word "License" describes the right of usage of the Software. The words
"Type" and "Subtype" when used to refer to a License, describe the flavors of
the License. These are determined when the Customer purchases the License.


SECTION A. LICENSE
    1.  In order to actively use the Software after the Trial period a User is 
        required to purchase a License. A License grants the Customer with the
        right of taking advantage of the functionality provided by the Software.
        
    2.  Licenses come in three flavors, referred to as "Type", and four extent
        of usage, referred to as "Subtype".
        License Type limits the level of Support offered to the Customer and is
        either "Basic", "Professional" or "Business" (see SECTION B. SUPPORT).
        License Subtype limits the boundaries, both personal and geographical,
        in which the Software can be used. It is distinguished in "Individual",
        "Company", "Corporation" or "Enterprise".
        
    2.1 A License of "Basic" Type has no right to any form of Support (see 
        SECTION B. SUPPORT).
        
    2.2 A License of "Professional" Type has the right to receive Support
        (see SECTION B. SUPPORT) in the form of Support Tickets. These type of
        requests have to be strictly related to issues connected with the 
        provided Library and are handled at lower priority.
        
    2.3 A License of "Business" Type has the right to receive Support
        (see SECTION B. SUPPORT) in the form of Support Tickets. These type of
        requests have to be just loosely related to issues connected with the 
        provided Library and are handled at higher priority.
        
    2.4 A License of "Individual" Subtype limits the usage of the Software to
        the direct Owner of the License. Any application using the Library
        can also be distributed only under the name of the individual physical
        person who owns the License.
        
    2.5 A License of "Company" Subtype limits the usage of the Software to a
        restricted set of Individuals established by the Entity owning the
        License. These Individuals allowed to use the Software are selected
        when the License is purchased and can be changed subject to a fee.
        Any application using the Library developed by the owning entity must
        be distributed under the owning entity's name.
        
    2.6 A License of "Corporation" Subtype limits the usage of the Software
        to a specific geographical location, such as a building or address,
        chosen by the Owning Entity when the license is purchased.
        The location chosen must have a surface cover inferior or equal to
        2000 square meters. Above this amount, an "Enterprise" license is
        required.
        Any application using the Library developed by the owning entity can
        be distributed under any name the owning entity choses.

    2.7 A License of "Enterprise" Subtype limits the usage of the Software
        to the worldwide space used by the Owning Entity for business related
        activities. This include any building or address in which the Owning 
        Entity has any interest related to its own business, such as places
        where employees or direct collaborators work for the Owning Entity.
        Any application using the Library developed by the owning entity can
        be distributed under any name the owning entity choses.


SECTION B. SUPPORT
    1.  Support is provided to the Customer in the limits the Provider is able
        to afford. No guarantees are made in respect to continuation of the
        Support service, nor it is assumed the same will be uninterrupted or
        error free (see SECTION C. DISCLAIMER OF WARRANTIES and SECTION
        D. LIMITATION OF LIABILITY).
        
    2.  Support is provided within the boundaries of the License scheme, 
        specifically those outlined in SECTION A. LICENSE.
        
    3.  Support is provided only for matters and problems strictly related to
        DocktorUI services.
        
    4.  Support is provided only for the duration of the subscription to the 
        DocktorUI services, which is determined as being the 12 months period
        after the Owner has purchased the License for which support is being
        provided.
    
    4.1 The subscription is extended to the next 12 months period after each
        time the Owner purchases License upgrades by updating the validity of
        License itself to the latest Software version. 
        
    5.  Support can be interrupted at any moment given the reasonable doubt the
        data provided for the Owner or User is either misleading or forged (see
        SECTION E. PRIVACY, entry 3).


SECTION C. DISCLAIMER OF WARRANTIES
    1.  All the services, including but not limited to, the Software, Support,
        website and anything related to the maintenance and functioning of 
        DocktorUI, are provided "as is".

    2.  The Provider and its suppliers, licensors, partners or subsidiaries
        hereby disclaim all warranties of any kind, express or implied,
        including, without limitation, the warranties of merchantability, 
        fitness for a particular purpose and non-infringement.
        
    3.  No warranty is made, promised or implied that the Software will be
        error free or that Support or access to the website will be continuous
        or uninterrupted. You understand that you will be using the Software, 
        Support and related services at your own discretion and risk.


SECTION D. LIMITATION OF LIABILITY
    1.  In no event will the Provider, or its suppliers, licensors, partners
        or subsidiaries be liable with respect to any subject matter of this 
        agreement under any contract, negligence, strict liability or other
        legal or equitable theory for the following:
    
    1.1 Any special, incidental or consequential damages.
    
    1.2 The cost of procurement or substitute products or services.
    
    1.3 For interruption of use or loss or corruption of data.
    
    1.4 For any amounts that exceed the fees paid by You
    
    2.  The Provider shall have no liability for any failure or delay due to
        matters beyond their reasonable control. The foregoing shall not apply
        to the extent prohibited by applicable law.


SECTION E. PRIVACY
    1.  Any data collected from Users and Owners is detained for the sole
        purpose of providing the service of Support, License ownership 
        validation and maintenance, communication and any other Software
        or DocktorUI related services and functioning.
        
    2.  Collected User and Owner data can be shared among the Provider's
        suppliers, licensors, partners or subsidiaries, always for the sole
        purpose of continuation of the service, website, Software development
        or License and Support management.
        
    3.  The provision of incorrect or forged information from the User or Owner
        side will invalidate any License or Support service the foregoing had
        previously purchased or taken advantage of. At his own discretion will
        the Provider decide whether to suspend only services, the account, or
        contact authorities as see fit. 


SECTION F. CHANGES
    1.  The Provider reserves the right, at its sole discretion, to modify or 
        replace any part of this Agreement. It is responsibility of Owners and
        Users to check this Agreement periodically for changes.
       
    2.  Usage of the Software or access to the Support following the publication
        of any changes to this Agreement constitutes acceptance of those changes.
